Prior notification of a concentration Case M.11312 PLATINUM COMPASS / DIGITALBRIDGE / LANDMARK DIVIDEND

1. On 13 November 2023, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation EC No 139/2004 1.
This notification concerns the following undertakings:
Platinum Compass B 2018 RSC Limited Platinum Compass, Abu Dhabi, United Arab Emirates controlled by Abu Dhabi Investment Authority ADIA, Abu Dhabi, United Arab Emirates, DigitalBridge Group, Inc. DigitalBridge, USA, Landmark Dividend LLC Landmark, USA controlled by DigitalBridge.
Platinum Compass and DigitalBridge will acquire within the meaning of Article 31b and 34 of the Merger Regulation joint control of Landmark.
The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:
Platinum Compass is wholly-owned and controlled by ADIA, a public institution established by the Government of the Emirate of Abu Dhabi in 1976 as an independent investment institution. ADIA manages a global investment portfolio that is diversified across more than two dozen asset classes and sub-categories, DigitalBridge is a global-scale digital infrastructure investment firm that invests in five key areas: i data centres; ii cell towers; iii fibre networks; iv small cells; and v edge infrastructure. DigitalBridge is publicly listed on the New York Stock Exchange ticker symbol: DBRG, Landmark is a real estate investment firm that acquires real property interests associated with digital infrastructure in the US, Canada and Australia with no revenues or assets in the EEA. Landmark is primarily focused on the data center, wireless communication, outdoor advertising and renewable power generation industries.
3. On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation EC
No 139/2004 on the control of concentrations between undertakings 2 it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.
4. The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
