DISOLUCIÓN: Las causas de disolución serán las previstas por el artículo 94 de la Ley 19.550.
LIQUIDACIÓN: La liquidación será practicada por los socios o una tercera persona, designada como tal, la que revestirá el carácter de liquidador y procederá a finiquitar los negocios pendientes, a realizar el activo social y una vez satisfechas todas las obligaciones contraídas por la sociedad, reembolsará el remanente a cada socio en proporción a sus aportes de capital conforme lo determina la Ley 19.550.
